Seller Agreement
1. Parties and formation
1.1. The platform — Individual Entrepreneur Luka Akopashvili (ID No. 35301136727), operating the website brelo.ge (“Brelo”).
1.2. The seller — a natural or legal person who opens a shop on Brelo to sell their own goods.
1.3. This document is a public offer. By creating a shop the seller accepts it in full. The acceptance and its version are recorded in Brelo's system together with the date.
2. Subject of the agreement
2.1. The seller instructs Brelo, and Brelo undertakes, in the seller's name and on the seller's account, to list the seller's goods online, receive orders, settle with the buyer, and pass the money to the seller.
2.2. Brelo neither owns the goods nor sells them. Brelo provides a service to the seller.
2.3. The contract of sale is formed directly between the buyer and the seller.
3. Commission
3.1. Brelo's remuneration is a commission calculated on the product subtotal (delivery fees excluded):
- card-paid orders — 5%, which includes the bank's acquiring cost;
- cash-on-delivery orders — 3%.
3.2. On a card-paid order the seller receives 95% of the product subtotal.
3.3. A change to the rates takes effect when a new version of this agreement is published and accepted by the seller (clause 8.2).
4. Settlement
4.1. Money paid by card by the buyer enters Brelo's account in the seller's name. That money belongs to the seller and is held by Brelo only temporarily, to be passed on. It is not Brelo's revenue.
4.2. Brelo's revenue is the commission under clause 3 alone.
4.3. After delivery is confirmed, and no later than 7 business days, Brelo transfers the money owed to the seller, less the commission, to the bank account the seller provided.
4.4. The transfer's payment purpose states that the money belongs to the seller and that the commission has been deducted.
4.5. On cash on delivery the seller receives the buyer's money, and the commission is recorded as a debt on the seller's balance. Once that debt passes 50 GEL, cash on delivery is switched off automatically until it is settled.
4.6. If an order is cancelled or refused by the buyer, no commission is charged, and any already recorded is reversed.
5. The seller's obligations
5.1. Describe goods accurately and completely, price included.
5.2. Fulfil orders promptly and have them ready for collection.
5.3. Comply with the law, including their own tax obligations. The seller declares their own income independently.
5.4. Illegal, counterfeit, or licence-restricted goods may not be sold without the relevant permit.
5.5. Provide and keep current the details needed for settlement.
6. Brelo's obligations
6.1. Provide the technical means to run a shop and receive orders.
6.2. Pass on money received in accordance with clause 4.
6.3. Give the seller visibility of their sales, commission, and transfers.
7. Liability
7.1. The seller is responsible for the quality of the goods, the accuracy of descriptions, delivery, and the obligations owed to the buyer.
7.2. Brelo is responsible for passing on, in full, the money it received for the seller.
7.3. Brelo may pause a shop in the event of repeated complaints, misleading buyers, breach of law, or unsettled debt. Pausing does not release Brelo from its obligation to pass on money already received.
8. Term, changes, and termination
8.1. The agreement is effective from the day the shop is created, with no fixed term.
8.2. Changes are published as a new version. The seller is notified in the dashboard, and the change takes effect for them once they confirm it.
8.3. The seller may close their shop at any time. Termination does not affect orders already placed or settlements already due.
9. Personal data
9.1. Data is processed in accordance with the privacy policy.
9.2. Buyer data is passed to the seller solely to fulfil the order and may not be used for anything else.
10. Final provisions
10.1. Governed by the law of Georgia.
10.2. Disputes are settled by negotiation, failing which by the courts of Georgia.
